- 1.1 Eligibility: To use the Platform, you must be at least 18 years old and capable of forming a legally binding contract. By using the Platform, you represent and warrant that you meet these eligibility requirements.
- 1.2 User Account: To access certain features of the Platform, you may be required to create an account. You are responsible for maintaining the confidentiality of your account credentials and for any activity that occurs under your account. You agree to provide accurate, current, and complete information during the registration process and to update it promptly if there are any changes.
- 1.3 Prohibited Activities: You agree not to engage in any prohibited activities while using the Platform, including but not limited to: (a) Violating any applicable laws, regulations, or third-party rights; (b) Impersonating any person or entity or falsely representing your affiliation with any person or entity; (c) Interfering with or disrupting the integrity or performance of the Platform; (d) Uploading or transmitting viruses, malware, or any other malicious code; (e) Engaging in any fraudulent or deceptive activities; and (f) Collecting or harvesting any user data without our prior consent.
- 2. Monttoro Investments
- 2.1 Project Listings: The Platform allows users to create and publish crowdfunding campaigns seeking debt-based funding for their projects ("Projects"). As a user of the Platform, you may submit Project listings, which must comply with our guidelines and any applicable laws and regulations.
- 2.2 Project Contributors: Users may contribute funds to Projects listed on the Platform ("Contributors"). By contributing funds, Contributors acknowledge and understand that their contributions are voluntary and do not grant them any ownership rights or equity in the Project.
- 2.3 Payment Processing: We use third-party payment processors to facilitate the collection and disbursement of funds on the Platform. Contributors authorize us and the payment processors to collect, process, and disburse funds on their behalf. We are not responsible for any actions or omissions of the payment processors.
- 2.4 Project Completion and Risks: The success, completion, and outcome of Projects listed on the Platform are the sole responsibility of the Project creators. We do not guarantee the success of any Project or the repayment of funds to Contributors. Investing in Projects involves risks, and Contributors should carefully evaluate and consider these risks before making any contributions.
- 3. Intellectual Property
- 3.1 Ownership: The Platform and its contents, including but not limited to text, graphics, logos, images, videos, and software, are the property of the Company or its licensors and are protected by intellectual property laws. You are granted a limited, non-exclusive, and non-transferable license to access and use the Platform for its intended purpose.
- 3.2 User Content: By submitting any content to the Platform, including but not limited to text, images, videos, and comments, you grant the Company a worldwide, royalty-free, and non-exclusive license to use, reproduce, modify, adapt, publish, and display the content for the purpose of operating and promoting the Platform.
- 4. Limitation of Liability
- 4.1 No Warranty: The Platform is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied. The Company does not warrant that the Platform will be uninterrupted, error-free, or free from viruses or other harmful components. You use the Platform at your own risk.
- 4.2 Indemnification: You agree to indemnify and hold the Company, its officers, directors, employees, Payment providers, payment collection agents and agents harmless from any claims, liabilities, damages, losses, or expenses arising out of your use of the Platform or your violation of this Agreement.
- 4.3 Limitation of Liability: To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising from your use of the Platform or any interactions with other users.
- 5. Termination
- 5.1 Termination by You: You may terminate this Agreement by discontinuing your use of the Platform and closing your account, if applicable.
- 5.2 Termination by the Company: The Company reserves the right to terminate or suspend your access to the Platform at any time, with or without cause, and without prior notice
- 6. General Provisions
- 6.1 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction]. Any disputes arising from or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts located in [Jurisdiction]. It is your responsibility to understand research the relevant governing laws before entering in to the agreement or completing any transaction. Monttoro Investments, partners, agents or affiliates should be indemnified against any law suit arising regarding the agreement or any transaction.
- 6.2 Entire Agreement: This Agreement constitutes the entire agreement between you and the Company regarding the use of the Platform and supersedes any prior agreements or understandings, whether oral or written.
- 6.3 Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue to be valid and enforceable to the fullest extent permitted by law.
- 6.4 Communication: Any email or telephonic communication received from other than support@monttoroinv.com will not be considered as a communication received from the platform.
By using the platform, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree to this Agreement, you may not use the Platform.
